Terms of Service & Commercial Conditions (TOS / B2B)

These General Terms of Service govern the contractual relationship between Nynexium SAS and any subscribing professional firm (the “Customer”) accessing the Nynexium SaaS platform.

Subscribing to any plan entails full and unreserved acceptance of these Terms, which supersede any Customer purchase conditions.

2.1 Trial Conditions: Upon registration, the firm enjoys 30 days of full production software access with no immediate charge.

2.2 Security Card Authorization: A credit card authorization is recorded during registration to verify business credentials and secure activation. No amount is debited during the trial.

2.3 1-Click Cancellation: The Customer may cancel the trial at any time in 1 click from their settings before the 30th day with zero cancellation fees.

3.1 Firm Commitment: Following completion of the 30-day trial, the subscription takes effect for a binding term of 12 consecutive months (1 year).

3.2 Automatic Renewal: The subscription renews tacitly for successive 12-month periods on each annual anniversary date.

3.3 Statutory Email Notice: An official notice email is automatically sent to the Customer 1 month before renewal detailing the debit amount and anniversary date.

4.1 Prices Net of VAT: All plan prices (Solo: €129/mo, Firm: €299/mo, Network: €699/mo, Large Network: €1,190/mo, Enterprise: from €1,990/mo) are quoted in Euros excluding applicable taxes.

4.2 Payment Methods: Payments are collected via SEPA direct debit or credit card, either monthly or upfront annually with a 10% discount.

4.3 Late Payments: Overdue balances bear statutory late payment interest and an administrative recovery indemnity.

The firm administrator may add teammates with 1 click. Additional licenses are billed at the flat rate of +€90 excl. VAT / month pro-rata temporis for the remaining days of the current billing cycle.

Nynexium commits to a monthly platform availability SLA of 99.9% (99.95% for Enterprise tier), excluding pre-notified scheduled maintenance windows.

Notice of non-renewal must be submitted by the Customer no later than 15 days before the annual renewal date via their billing settings or registered mail.

These Terms are governed by French law. Any dispute shall be submitted to the exclusive jurisdiction of the competent courts of the Paris Court of Appeal jurisdiction.
